1. Use of the Service

• Eligibility: You must be at least 18 years old to use the Service. Use by anyone under 18, including children under 13 (USA) or 16 (EEA), is prohibited and any data so collected will be deleted as described in our Privacy Policy.
• License: We grant you a limited, non-exclusive, revocable license to use the Service for personal or internal business purposes.
• Account Security: You are responsible for all activities under your account. Notify us immediately of any unauthorized use.
• Acceptable Use: Your use is also subject to our Acceptable Use Policy, incorporated into this Agreement by reference.

2. Ownership & Content

• Your Content: You retain ownership of the prompts (“Inputs”) and results (“Outputs”) generated by the Service.
• License to Us: You grant the Operator a worldwide, royalty-free license to use your Inputs and Outputs solely to operate, maintain, secure, and improve the Service’s functionality (including prompt-routing, quality assurance, and abuse detection). This license terminates when you delete the content, subject to our retention windows in the Privacy Policy.
• Our Intellectual Property: The Operator owns all rights to the Service’s code, design, and branding.
• Copyright Disclaimer: The Operator makes no representations or warranties regarding the copyrightability of AI-generated Outputs. You acknowledge that AI-generated content may not be eligible for copyright protection in certain jurisdictions. Our transfer of rights to you is limited to the extent permitted by law and the terms of our third-party AI inference providers.
• No Training on User Content: Hashqix does not train, fine-tune, or otherwise use Inputs or Outputs to develop machine-learning models we own. See Privacy Policy Section 11.
• Third-Party Inputs: You must not input third-party copyrighted material (text, images, code) into prompts unless you own the copyright or have a license. Hashqix is not responsible for infringement arising from your inputs.

3. AI Features

• No Guarantee of Accuracy: AI-generated Outputs may be inaccurate, offensive, or biased. The Operator is not liable for the content of any Output.
• Prohibited Use: You may not use the AI tools to generate harmful, illegal, or infringing content. Violation of the underlying providers’ policies and our Acceptable Use Policy will result in immediate termination.

3.1. Non-Competition and Model Training Restrictions

You are strictly prohibited from using the Service, including any Outputs, to develop, train, fine-tune, or improve any AI models designed to replicate or substitute the Service’s core functionality. This includes, but is not limited to, using Outputs for “model distilling,” “synthetic data generation” for training purposes, or any other activity aimed at replicating the Service’s orchestration logic. Any such unauthorized use constitutes a material breach of this Agreement and will result in the immediate termination of your access without a refund.

4. Purchase Terms & Refund Policy

4.1. Payment Processing

When subscription billing launches, payments will be processed by a third-party payment processor on Hashqix LLC’s behalf. By submitting a payment you will also be subject to that processor’s terms and privacy policy. Hashqix LLC stores no card numbers.

4.2. Automatic Renewal

Subscriptions renew automatically unless canceled in your account settings before the end of the current billing period.

4.3. Refund Policy

Due to the non-tangible nature of digital credits and the costs associated with AI generation, refunds are generally not provided once you have initiated an AI-generation request or consumed credits within the billing period. EU/UK residents may exercise their right of withdrawal within 14 days of purchase, provided that they have not utilized the Service’s AI-generation features. For users outside the EU/UK, any refund remains at the sole discretion of Hashqix LLC.

5. AI Output Disclaimer and Warranty

Hashqix provides an interface to third-party artificial intelligence models. The Operator does not guarantee the accuracy, completeness, or legality of any content generated by the Service (“Output”). All Output is provided on an “AS-IS” and “AS-AVAILABLE” basis. The User acknowledges that AI-generated content may be repetitive, inaccurate, biased, or infringe upon third-party rights, and the User assumes all risks associated with the use, publication, or commercialization of such Output. The Operator is not a “joint author” of any Output generated by the User. You are responsible for verification, licensing, and compliance with applicable law before using any Output.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Operator (Hashqix LLC), its affiliates, or its partners be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses. Under no circumstances will the Operator be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Service. To the maximum extent permitted by law, the Operator’s total liability for any claims arising out of this Agreement shall be limited to the greater of: (i) the total amount paid by the User to the Service in the three (3) months preceding the event; or (ii) $100 USD. Some jurisdictions (including certain US states and EU consumer-protection regimes) do not allow the exclusion or limitation of incidental or consequential damages; in such jurisdictions, the Operator’s liability is limited to the smallest amount permitted by law.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Operator from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms or our Acceptable Use Policy; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User-shared Content or AI Output caused damage to a third party.

8. Arbitration & Class Action Waiver

Any dispute arising from this Agreement will be resolved through binding individual arbitration. You waive your right to participate in a class-action lawsuit or a jury trial. This arbitration clause does not apply to EU/UK residents to the extent prohibited by applicable consumer-protection law.

8.1. Right to Opt Out of Arbitration

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include: (i) your full name; (ii) the email address associated with your Hashqix account; and (iii) a clear statement that you wish to opt out of the arbitration agreement in Section 8 of these Terms. If you opt out, neither you nor Hashqix LLC will be required to arbitrate; instead, all disputes will be resolved in the courts described in Section 10. Opting out of arbitration will not affect any other provision of these Terms, including the class-action waiver, which remains in effect.

9. Termination

The Operator reserves the right to suspend or terminate your account at any time for violation of these terms or our Acceptable Use Policy, or at our sole discretion during the Beta program. Upon termination by you, account-erasure scheduling and data-purge timing follow our Privacy Policy.

10. Governing Law and Jurisdiction

10.1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

10.2. Arbitration

Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the American Arbitration Association (AAA) under the AAA Commercial Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Sheridan, Wyoming. The language of the arbitration shall be English.

10.3. Batch Arbitration

To increase administrative efficiency, if 100 or more similar arbitration requests are filed against Hashqix LLC by the same counsel or organization within a 30-day period, the AAA shall administer the requests in batches of up to 100 requests per batch. A single set of filing and administrative fees shall apply per batch.

11. Copyright Infringement (DMCA)

If you believe that any content on the Service infringes your copyright, please follow the procedure in our DMCA Policy, which sets out our designated agent contact information and the statutory requirements under 17 U.S.C. § 512(c)(3). Counter-notifications and our repeat-infringer policy are also addressed there. Knowingly false claims of infringement may result in liability under § 512(f).

12. Export Control and Sanctions Compliance

The Service and its underlying technology are subject to United States export control and economic sanctions laws. By using the Service, you represent and warrant that:

12.1. Sanctioned Jurisdictions

You are not located in, under the control of, or a national or resident of any country or territory subject to a comprehensive U.S. government embargo (including, but not limited to, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions).

12.2. Prohibited Parties

You are not listed on any U.S. government list of prohibited or restricted parties, such as the Specially Designated Nationals (SDN) List.

12.3. Restricted Use

You will not use the Service for any purpose prohibited by U.S. law, including the development, design, manufacture, or production of missiles, or nuclear, chemical, or biological weapons.

12.4. Compliance

You agree to comply with all applicable export and re-export control laws and regulations. Hashqix LLC reserves the right to restrict or terminate access to the Service immediately if it determines, in its sole discretion, that your use may violate these laws.

13. User Content / Section 230 / DSA

The Operator does not endorse, verify, or pre-screen User Content. The Operator is an “interactive computer service” within the meaning of 47 U.S.C. § 230 and is not the publisher or speaker of User Content. We rely on user reports, automated abuse detection, and our DMCA / AUP procedures to moderate content posted to or generated through the Service.

EU / EEA users (Digital Services Act, Regulation (EU) 2022/2065): you may submit notices of allegedly illegal content to [email protected]. Notices must include: (a) a reasoned explanation of why the content is illegal under EU or member-state law; (b) the URL or other identifier of the content; (c) a good-faith statement that the report is accurate; and (d) your name and contact information. We will acknowledge receipt within 24 business hours and act expeditiously where required by the DSA.

14. AI Act Transparency

You acknowledge that the Outputs generated by the Service are produced by artificial-intelligence systems. The Service may generate synthetic text, images, video, and audio. To the extent that EU Regulation 2024/1689 (the “AI Act”) applies to your use, the Operator marks generated content with detectable indicators where technically feasible, and you agree to disclose AI involvement when redistributing Outputs in jurisdictions requiring such disclosure (including under Cal. Bus. & Prof. Code §§ 22675–22680 and similar US state laws).

15. General Provisions

15.1. Force Majeure

Hashqix LLC shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government orders, third-party service-provider outages (including but not limited to outages at our authentication, hosting, content delivery, AI inference, analytics, error monitoring, or payment-processing sub-processors, or their respective sub-processors), pandemics, network or power failures, and labor disputes.

15.2. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15.3. Entire Agreement

This Agreement, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and DMCA Policy, constitutes the entire agreement between you and Hashqix LLC concerning the Service and supersedes all prior agreements.

15.4. No Waiver

No failure or delay by Hashqix LLC in exercising any right under this Agreement shall constitute a waiver of that right.

15.5. Assignment

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement freely, including in connection with a merger or acquisition.

16. Updates to this Agreement

Hashqix LLC reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide notice prior to any new terms taking effect by posting a notice on our Website or sending an email to the address associated with your Account. Material changes take effect at least 30 days after such notice; non-material changes (typo fixes, contact-info updates, references to non-substantive new features) take effect immediately. Changes required by law or our third-party providers may take effect immediately. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
